1. About us

GMN Studio is a boutique web studio based in Quebec, Canada, specializing in web design, brand identity, Google Ads, SEO, and local presence for small businesses and independent professionals.

These terms are entered into between you ("client", "you") and GMN Studio ("we", "us", "our").

2. Website use

You agree to use this website lawfully and in good faith. You may not attempt to access non-public areas, interfere with the site's operation, scrape content at scale, attempt to reverse-engineer the site, or use it to transmit malware or unlawful material.

We may modify, suspend, or discontinue any part of the site at any time without notice. We do our best to keep the site available, but we do not guarantee uninterrupted access.

3. Services & scope of work

All project deliverables, timelines, and fees are described in a written proposal or service agreement signed before work begins. That signed proposal, together with these terms, forms the entire agreement between us.

Any work outside the agreed scope ("change requests") may require additional fees and timeline adjustments and must be approved by both parties in writing before we proceed.

4. Pricing & payment

Project work: a non-refundable deposit of 50% is required to schedule and start the project. The remaining balance is due upon project completion, before final files are transferred or the website goes live.

Monthly growth plans (Pricing page): billed monthly in advance with a minimum commitment of 12 months. After the initial 12-month term, the plan continues month-to-month and can be cancelled at any time with 30 days written notice. Early termination within the initial term requires payment of the remaining monthly fees through to the end of the 12-month commitment. No refunds are issued for the current billing month.

All prices are in Canadian dollars (CAD) and exclude applicable taxes (GST/QST). Late payments may be subject to interest at 1.5% per month (19.56% per year).

5. Intellectual property

Until final payment is received, all designs, code, and deliverables remain the property of GMN Studio.

Upon full and final payment, the ownership of the custom design and bespoke source code created specifically for your project is transferred to you.

GMN Studio retains the right to display the completed work in our portfolio, case studies, and marketing channels unless we agree otherwise in writing.

Third-party assets (stock photography, licensed fonts, plugins, frameworks, SaaS platforms) remain subject to their original licenses and are not transferred. Open-source components remain governed by their respective licenses.

6. Revisions, approval & client responsibilities

Each project includes a defined number of revision rounds, as specified in the proposal. Additional revisions are billed at our standard hourly rate.

You are responsible for providing accurate content, brand assets, and timely feedback. Delays in client deliverables may shift the project timeline and, beyond 30 days of inactivity, may result in additional reactivation fees.

Project sign-off is implicit if no written feedback is received within 14 days of a final delivery.

7. Hosting, third-party services & uptime

We may recommend or set up third-party hosting, email, analytics, or payment providers on your behalf. Their terms, pricing, and availability are governed by them, not by us.

We do not guarantee uptime, performance, or security of third-party platforms and are not responsible for outages, breaches, or feature changes outside our control.

8. Confidentiality

Both parties agree to keep non-public information shared during the engagement confidential and to use it only for the purposes of delivering the project. This obligation survives the end of our engagement.

9. Warranties & disclaimers

We provide services with professional care and skill. To the maximum extent permitted by law, the website and our services are otherwise provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee specific business results from our services (rankings, leads, revenue), as outcomes depend on many factors outside our control.

10. Limitation of liability

To the maximum extent permitted by law, GMN Studio is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the website or our services.

Our total aggregate liability for any claim arising out of or related to a project shall not exceed the total fees actually paid by the client for that specific project during the 6 months preceding the claim.

11. Indemnification

You agree to indemnify and hold GMN Studio harmless from any third-party claims, damages, or expenses (including reasonable legal fees) arising from content, assets, or instructions you provided that infringe a third party's rights, violate the law, or breach these terms.

12. Termination

Either party may terminate an engagement for material breach by the other if the breach is not cured within 14 days of written notice.

Upon termination, you are responsible for paying for all work performed up to the termination date. Deposits remain non-refundable.

13. Governing law & disputes

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. The courts of the judicial district of Quebec have exclusive jurisdiction over any dispute, subject to your mandatory consumer-protection rights.

We commit to attempting to resolve any dispute through good-faith negotiation before initiating legal proceedings.

14. Changes to these terms

We may update these terms from time to time. The "Last updated" date reflects the latest revision. Material changes will be communicated through our website. Your continued use of the site or our services after changes are posted constitutes acceptance of the updated terms.
